Welcome to Designed by Poorva. These Terms & Conditions govern the use of this website and the engagement of branding, brand identity and web design services provided by Designed by Poorva ("we", "us" or "our"). By using this website or engaging our services, you agree to be bound by these Terms & Conditions.

Services
Designed by Poorva provides branding, visual identity, website design and related creative services. The scope, timeline, deliverables and fees for each project will be outlined in a proposal, quotation, invoice or written agreement prior to commencement. Any work requested outside the agreed scope may require additional fees and revised timelines.

Client Responsibilities
To ensure projects are completed efficiently, clients are responsible for providing all required information, content, imagery, feedback and approvals within a reasonable timeframe. Delays in receiving materials or approvals may impact project schedules and delivery dates. Clients warrant that any content supplied for use within a project is owned by them or used with appropriate permission.

Fees and Payment
All fees are outlined in the relevant proposal, quotation or invoice. Payment terms will be specified before work begins. Work may not commence until any required deposit has been received. Final files, website transfers or project handovers may be withheld until all outstanding invoices have been paid in full. Late payments may result in project delays or suspension of work.

Revisions and Additional Work
Project fees include the number of revisions specified in the project proposal. Requests for additional revisions, changes to approved work or work outside the original project scope may incur additional charges. Any additional work will be discussed and approved before being undertaken.

Intellectual Property
Upon full payment of all project fees, ownership of the final approved deliverables created specifically for the client will transfer to the client, unless otherwise agreed in writing. Designed by Poorva retains ownership of preliminary concepts, unused design directions, methodologies, templates, processes and any intellectual property developed independently of the project. Any third-party assets, fonts, software or licensed materials remain subject to the terms of their respective owners.

Portfolio and Promotional Use
Designed by Poorva reserves the right to display completed projects, including logos, brand identities, website designs, screenshots and project descriptions, within portfolios, social media channels, marketing materials and industry submissions for promotional purposes. If confidentiality is required, this must be agreed upon in writing before the commencement of the project.

Website Projects
Where website design services are provided, clients are responsible for maintaining active domain registrations, hosting services and any third-party subscriptions unless ongoing support has been separately agreed. While reasonable care is taken during development and launch, Designed by Poorva does not guarantee uninterrupted website performance and is not responsible for outages, security breaches, software updates or technical issues caused by third-party platforms or service providers.

Third-Party Services
Projects may involve the use of third-party software, hosting providers, plugins, integrations or online services. Designed by Poorva is not responsible for changes, interruptions, pricing updates, security incidents or service failures arising from third-party providers. Clients are encouraged to review the terms and policies of any third-party services used within their project.

Limitation of Liability
To the maximum extent permitted by law, Designed by Poorva's liability in connection with any project, service or use of this website is limited to the amount paid by the client for the relevant services. We are not liable for any indirect, consequential or incidental losses, including loss of profits, business opportunities, data or goodwill arising from the use of our services or website.

Nothing in these Terms & Conditions excludes, restricts or modifies any rights that cannot be excluded under Australian Consumer Law.

Termination
Either party may terminate a project by providing written notice. In the event of termination, the client agrees to pay for all work completed up to the date of termination. Deposits and payments already made are generally non-refundable once work has commenced, except where required by law.

Website Content
The content, branding, imagery, text, graphics and other materials displayed on this website are the property of Designed by Poorva unless otherwise stated. No content may be copied, reproduced, distributed or used for commercial purposes without prior written permission.

Privacy
Any personal information submitted through this website, including via contact forms, will be handled in accordance with our Privacy Policy. By submitting information through this website, you consent to the collection and use of that information for the purpose of responding to enquiries and providing services.

Governing Law
These Terms & Conditions are governed by the laws of Victoria, Australia. Any disputes arising in connection with these Terms & Conditions or our services will be subject to the jurisdiction of the courts of Victoria.
